I have been playing around with 0.4.1 and found it's really a great product ; thnx for making it open source :-)
Now, I plan to check out the features of 0.5.1
So, how I about upgrade ?
Upgrade has two parts - DB Update and File Update.
Before doing anything first take a backup of your inoerp folder and database, next follow the below steps

1. Install the latest version of inoerp in a test environment
2. Go to the settings.inc file of the new version installation and setup a new database line with the old database details.
3. Run the DB Update program (Admin -> Program -> DBUpdate).
Run the main program if it's not scheduled to run. This completes your DB update.
4. Next, delete all the existing files in your inoERP folder and copy all the new files from the new installation folder.
5. Finally, copy all your custom templates, codes, etc to your main inoERP folder
